释义	企业重组指公司之间、股东与公司之间、股东之间依据私法自治原则，为实现公司资源的合理流动与优化配置而实施的各种商事行为。企业分立，指一个企业依照有关法律、法规的规定,分立为两个或两个以上的企业的法律行为。法律依据：《中华人民共和国公司法》第一百七十五条公司分立，其财产作相应的分割。公司分立，应当编制资产负债表及财产清单。公司应当自作出分立决议之日起十日内通知债权人，并于三十日内在报纸上公告。
