释义	法律分析: 挂名股东不享有股权，也不具有任何的股东权益，因为其并未出资，不具备股东资格的实质要件。但若是隐名股东未足额出资，挂名股东应当补足。两股东之间存在代替持股法律关系可以用代持股协议来证明。《中华人民共和国公司法》第三十条有限责任公司成立后，发现作为设立公司出资的非货币财产的实际价额显著低于公司章程所定价额的，应当由交付该出资的股东补足其差额；公司设立时的其他股东承担连带责任。
