释义	法律分析：名义股东是指有限责任公司的实际出资人与名义出资人订立合同，约定由实际出资人出资并享有投资收益，名义出资人仅是名义上的股东。其实质为挂名股东。实际出资人与名义股东的协议的效力仅针对签约双方，不对第三人产生法律约束力。名义股东依照形式主义原则对公司外第三人承担责任。法律依据：《公司法》第二十六条有限责任公司的注册资本为在公司登记机关登记的全体股东认缴的出资额。法律、行政法规以及国务院决定对有限责任公司注册资本实缴、注册资本最低限额另有规定的，从其规定。
