释义	法人和监事的分别首先公司的法人是指法定代表人，是企业的负责人，享有经营管理的权利，并承担企业的法律责任。一般来说企业法人是公司的股东，但是，只要公司股东会形成有效的股东会决议，股东以外的人也可以担任公司的法人。监事，是公司中常设的监察机关的成员，又称“监察人”，负责监察公司的财务情况，公司高级管理人员的职务执行情况，以及其他由公司章程规定的监察职责。在中国，由监事组成的监督机构称为监事会，是公司必备的法定的监督机关。监事通常由股东代表和职工代表组成，但不得兼任法人。
