释义	公司董事，不是必须是股东。公司可以有股东董事，由股东会或股东大会选举和更换；也可以有职工代表董事，由公司职工通过职工代表大会、职工大会或者其他形式选举而产生。董事分为内部董事和外部董事。内部董事都是企业内部的员工或者高管，一般都是拥有股份的。外部董事又分为独立董事和非独立董事，独立董事必须要求非公司股东，不能跟公司有利益关系；非独立董事一般是外面的机构派驻进公司董事会的，他们所在的机构持有公司股份，但他们个人不一定持有股份。
