释义	法律分析：分公司，在业务、资金、人事等方面受总公司的管辖，在法律上不具有法人资格，从根本属性上来讲，其属于总公司的一个分支机构。分公司虽然没有独立的财产和法人资格，但只要分公司经过工商部门的登记后，领取了营业执照，分公司可以作为《民事诉讼法》上的其他组织成为民事诉讼当事人。法律依据：《中华人民共和国公司法》第十四条公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。
