释义	法律分析：分公司需要注册登记设立分公司，应当向公司登记机关申请登记，领取营业执照。应当在总公司作出设立分公司的决定之日起30日内向分公司所在地的公司登记机关申请登记；如果法律、行政法规或者国务院决定规定必须报经有关部门批准的，应当自批准之日起30日内向公司登记机关申请登记。法律依据：《中华人民共和国公司法》第十四条公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。
