释义	法律分析：独立非执行董事：一个非执行董事在他被委任的公司里并没有行政上或管理上的责任。如果他是独立于管理层并且除董事酬金之外并没从公司收取其它利益，他则被视为是独立。法律依据：《中华人民共和国公司法》第五十条股东人数较少或者规模较小的有限责任公司，可以设一名执行董事，不设董事会。执行董事可以兼任公司经理。执行董事的职权由公司章程规定。
