释义	法律分析：企业兼并是两个或两个以上的企业根据契约关系进行股权合并，以实现生产要素的优化组合。企业兼并不同于行政性的企业合并，它是具有法人资格的经济组织，通过以现金方式购买被兼并企业或以承担被兼并企业的全部债权债务等为前提，取得被兼并企业全部产权，剥夺被兼并企业的法人资格。法律依据：《中华人民共和国公司法》第一百七十二条公司合并可以采取吸收合并或者新设合并。一个公司吸收其他公司为吸收合并，被吸收的公司解散。两个以上公司合并设立一个新的公司为新设合并，合并各方解散。
