释义	法律分析： 1、最高人民法院关于审理商品房买卖合同纠纷案件适用法律若干问题的解释》第二条出卖人未取得商品房预售许可证明，与买受人订立的商品房预售合同，应当认定无效，但是在起诉前取得商品房预售许可证明的，可以认定有效。（与开发商签了是认购协议书）但是《商品房销售管理办法》第二十二条不符合商品房销售条件的，房地产开发企业不得销售商品房，不得向买受人收取任何预订款性质费用。 2、关于定金。由于合同无效，双方在主观上都存在过错，因此对定金的处理不适用定金罚则，原告方可以按被告交付的定金原数返还。
