释义	法律分析：不论是主板还是创业板公司，董事、监事和高级管理人员自公司股票上市之日起一年内和离职后半年内，均不得转让其所持公司股份。一年锁定期满后，拟在任职期间买卖公司股份的，应当按有关规定提前报交易所备案。法律依据：《中华人民共和国公司法》第一百二十一条上市公司在一年内购买、出售重大资产或者担保金额超过公司资产总额百分之三十的，应当由股东大会作出决议，并经出席会议的股东所持表决权的三分之二以上通过。
