释义	《证券公司行政许可审核工作指引第10号》第二条规定，证券公司增资扩股和变更持有5%以上股权的股东，应当依法报中国证监会核准。证券公司变更持有5%以下股权的股东，应当事先向住所地证监局报备。第三条规定，证券公司股东股权转让比例不到5%，但存在下列情形的，应当依法报中国证监会核准：（一）股权变更导致股权受让方持股比例达到5%以上。（二）股权变更导致他人以持有证券公司股东的股权或者其他方式，实际控制证券公司5%以上的股权。（三）股权变更导致境外投资者直接持有或者间接控制证券公司股权。
