释义	法律分析：通常讲的有限责任是指公司法上的有限责任,即量的有限责任或人的有限责任。在这里的"有限"的含义不是指作为债务人的公司仅以其部分资产对其债务承担清偿责任,而是指作为公司的股东而言的。法律依据：《中华人民共和国公司法》第二十三条设立有限责任公司，应当具备下列条件：(一)股东符合法定人数;(二)有符合公司章程规定的全体股东认缴的出资额;(三)股东共同制定公司章程;(四)有公司名称，建立符合有限责任公司要求的组织机构;(五)有公司住所。
