释义	法律分析：分公司不是独立纳税人。因为我国法律规定，独立纳税人是独立经济核算的企业或者组织，而分公司仅仅只是作为总公司的一个分支机构，不具有独立法人的资格，无法独立的对外承担法律责任，也不能独立纳税。分公司的纳税行为均由总公司代为完成，因此分公司不是独立纳税人。法律依据：《中华人民共和国公司法》第一百六十四条公司应当在每一会计年度终了时编制财务会计报告，并依法经会计师事务所审计。财务会计报告应当依照法律、行政法规和国务院财政部门的规定制作。
