释义	优先认股权实质上是普通股东的优惠权，其“优先”具体表现为两点：①股东在转让股份时，其他股东有优先购买的权利。②对于公司增资发行的新股票，公司现有股东可以优先根据其持有的股票在原发行股票中所占比例，购买相应新股票的权利。法律依据：《中华人民共和国公司法》第三十四条规定：股东按照实缴的出资比例分取红利;公司新增资本时，股东有权优先按照实缴的出资比例认缴出资。但是，全体股东约定不按照出资比例分取红利或者不按照出资比例优先认缴出资的除外。
