法律分析：
就有限责任公司股权转让时，未分配利润如何处理，公司法并未作出明确的规定。
法律依据：
《公司法》 第三条 公司拥有独立的财产权。公司的未分配利润属公司财产的一部分，属公司所有。股东在转让股权时，也将其股权所对应的股东针对公司的财产权益、管理权利和义务一并转让了。也即股权转让价款中应该包含未分配利润的对价，不能另行核算。
