释义	法律分析：未出资实际上是虚假出资，即取得股份而无给付或无代价而取得股份。未出资的公司股东的股权转让是否有效，不能一概而论。除非未出资的公司股东在股权转让时隐瞒未出资的事实真相，受让人因此受到欺诈，否则不应认定未出资的公司股东的股权转让无效。法律依据：《中华人民共和国公司法》第一百九十九条公司的发起人、股东未交付货币、实物或者未转移财产权，虚假出资，欺诈债权人和社会公众的，责令改正，处以虚假出资金额5%以上10%以下的罚款，构成犯罪的，依法追究刑事责任。
