释义	公司清算指公司解散时，为终结现存的财产和其他法律关系，依照法定程序，对公司的财产和债权债务关系进行清理、处分和分配，以了结其债权债务关系，从而剥夺公司法人资格的法律行为。公司除因合并或分立而解散外，其余原因引起的解散，均须经过清算程序。公司清算是一个系统工作，在公司的清算过程中，可以将公司人格否认制度、债权侵权行为理论吸纳进来。《中华人民共和国公司法》第一百八十七条规定：清算组在清理公司财产、编制资产负债表和财产清单后，发现公司财产不足清偿债务的，应当依法向人民法院申请宣告破产。
