释义	法律分析: 一般情况下，法定代表人或者其他组织的负责人超越权限的行为一般也有效，可以有效地防止此类现象的发生，也符合交易的规则。在订立合同的过程中，合同的相对人知道或者应当知道法定代理人或者其他组织的行为是超越了权限，而仍与之订立合同，则具有恶意，那么此时，合同就不具效力。法律依据: 《中华人民共和国民法典》第五百零四条法人的法定代表人或者非法人组织的负责人超越权限订立的合同，除相对人知道或者应当知道其超越权限外，该代表行为有效，订立的合同对法人或者非法人组织发生效力。
