释义	法律分析：在新设式合并，原法人均告消灭吸收式合并，被吞并的法人归于消灭。在新设式分立，原法人消灭存续式分立，只是原法人的财产或组织机构发生变更。债权债务承受。因合并而消灭的法人，其债权债务由合并后的法人概括承受。在法人分立，原法人债权债务，应依分立前缔结的合同确定的分担份额，由分立后的法人承受。法律依据：《公司登记管理条例》第三十条公司变更法定代表人的，应当自变更决议或者决定作出之日起30日内申请变更登记。
