释义	意向性合同通常不具有法律效力，一般而言，意向不属于合同，合同的成立需要约人要约和承诺人承诺;而意向合同只是对合作内容上双方的协商，还没形成最后的要约承诺的。如果意向合同规定了双方详细的权利义务，则具有法律效力;如果只是单纯的意向，没有其他现实的约束，则法律效力无法体现。总之，尽管意向合同的绝大部分商业条款不具有正式的法律效力，但很多非商业性条款都具有法律约束力，而且重要的合作原则和商业条款往往对日后双方签订正式合同具有重要的奠基作用，因此，合作各方都应该充分重视。
