释义	法律分析: 向股东以外的第三人转让股权的，要经过股东会讨论表决；股东之间转让股权，只要通知公司及其他股东即可；双方签订股权转让协议，对转让股权的权利和义务做出具体规定；凡涉及到国有资产的股权转让，都应进行资产评估；对于中外合资企业或者中外合作的企业，公司股权转让的，要报请原审批机关审批同意以后才可以办理转让手续；发给新股东出资证明书；修改股东名册和公司章程，并向工商局进行工商变更登记。法律依据: 《中华人民共和国公司法》第一百三十七条股东持有的股份可以依法转让。
