释义	法律分析：在公司转让的时候，如果受让方买断了原公司的所有债务和资产的话，债务应当由受让方全部承担。如果受让方在转让公司的时候，买断了原公司的所有资产，单后发现转让人对原公司的债务有所隐瞒或者债务数目不清楚的，则所有债务应当由受让方和转让方协议后共同承担该债务。法律依据：《中华人民共和国民法典》第六十七条法人合并的，其权利和义务由合并后的法人享有和承担。法人分立的，其权利和义务由分立后的法人享有连带债权，承担连带债务，但是债权人和债务人另有约定的除外。
