释义	律师分析：一个有收益，一个没有收益。投资是以货币，技术，设备等，投入到成立企业中，是有收益的。垫资就是先先付出再拿回，是指按照工程项目的资金情况，工程项目对外付款大于项目已收款或者应收款合计所形成的代垫支出的资金，或者是生产经营当中所需的款项。【法律依据】：《中华人民共和国公司法》第三十四条股东按照实缴的出资比例分取红利；公司新增资本时，股东有权优先按照实缴的出资比例认缴出资。但是，全体股东约定不按照出资比例分取红利或者不按照出资比例优先认缴出资的除外。
