释义	非法定代表人若要代表公司签订合同，必须有公司的明确授权。在无法律规定的合同无效的情形下，授权非法定代表人代表公司对外签订合同，被授权人在授权范围内签订的合同有效；超越授权或者授权终止签订的合同无效，授权人追认的除外，但是越权或授权终止后签订的合同不得对抗善意相对人。法律依据：《中华人民共和国民法典》第五十七条法人是具有民事权利能力和民事行为能力，依法独立享有民事权利和承担民事义务的组织。
