释义	股东直接诉讼是股东提起的要求实现其作为股份所有者而拥有的某项权利的诉讼。所谓"直接",指的是股东提起有关诉讼时以自己的名义、主张的是自己的权利、诉讼的结果也是使股东受侵害的权益得到责任人的直接弥补。与股东直接诉讼相对立的概念是股东衍生诉讼(又译作股东派生诉讼、股东代表诉讼),在股东衍生诉讼中,原告依据公司方面的诉因以公司的名义进行诉讼,诉讼中所得的利益也归于公司而非股东。
