释义	所谓债权转股权，是指债权人以其依法享有的对在中国境内设立的有限责任公司或者股份有限公司的债权，转为公司股权，增加公司注册资本的行为。债转股是指在债务人发生财务困难的情况下，债权人按照其与债务人达成的书面协议或者法院裁定书，将其对债务人的债权转变为对债务人的股权，并对债务作出让步的行为。【本文关联的相关法律依据】《公司法》第一百三十七条股东持有的股份可以依法转让。第一百三十八条股东转让其股份，应当在依法设立的证券交易场所进行或者按照国务院规定的其他方式进行。
