总公司可以用分公司的员工社保进行招标吗？ |

公司可以设立分公司。设立分公司应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。分公司不具备独立的法人资格，它是总公司的分支机构，是一个公司在某地的代表，代表总公司在那里开展业务，可以从事与公司相同经营范围的业务，但其在经营业务过程中产生的民事责任由公司承担。资质的主体是法人，如果没有法人是不能办理资质的。所以分公司只能借用总公司的资质，但是这个借用一定要总公司开具证明，否则将构成非法挂靠，总公司和分公司都将受到处罚。分公司能否适用母公司的资质。具体还要看资质颁布部门对资质的规定和要求。如果没特殊要求的，分公司可直接适用母公司的资质，因为分公司相当于母公司的一个部门，其对外签订的合同由母公司承担。
