总企业注销分企业可以不注销吗

法律分析：
不可以。分公司不具有法人资格，按程序应当先注销分公司，再注销总公司。或者总公司注销的同时即终止分公司的业务往来，并立即函告分公司的注册机关完成注销手续。
法律依据：
《中华人民共和国公司法》 第十四条 第一款 公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。
