释义	证券公司承销证券，不得有下列行为：（一）进行虚假的或者误导投资者的广告宣传或者其他宣传推介活动；（二）以不正当竞争手段招揽承销业务；（三）其他违反证券承销业务规定的行为。证券公司有以上行为，给其他证券承销机构或者投资者造成损失的，应当依法承担赔偿责任。风险提示：证券公司承销证券，应当对公开发行募集文件的真实性、准确性、完整性进行核查。发现有虚假记载、误导性陈述或者重大遗漏的，不得进行销售活动；已经销售的，必须立即停止销售活动，并采取纠正措施。法律依据《证券法》第二十九条
