释义	监事是组织中的监督机构，对外不能代表公司。法定代表人代表企业法人的利益，按照法人的意志行使法人权利。法定代表人在企业内部负责组织和领导生产经营活动；对外代表企业，全权处理一切民事活动，法人代表由公司章程决定。法律依据：《中华人民共和国公司法》第五十四条监事可以列席董事会会议，并对董事会决议事项提出质询或者建议。监事会、不设监事会的公司的监事发现公司经营情况异常，可以进行调查；必要时，可以聘请会计师事务所等协助其工作，费用由公司承担。
