释义	法律分析：债权债务需要清算。债权成立后公司分立的，债权人有权要求分立后的两家公司承担连带责任，但无权要求未到期的债务提前偿还。当事人订立合同后合并的，合并后的法人或者其他组织应当行使合同权利，履行合同义务。当事人订立合同后分立的，分立的法人或者其他组织除债权人和债务人另有约定外，对合同的权利义务享有连带债权，承担连带债务。法律依据：《中华人民共和国民法典》第五百五十四条债务人转移债务的，新债务人应当承担与主债务有关的从债务，但是该从债务专属于原债务人自身的除外。
