释义	公司分立可以采取派生分离和新设分立两种形式。公司需分立的，公司股东会作出决议，并按《公司法》的规定，履行通知债权人、处理债权义务后，向公司登记机关提交相关登记材料，申请变更登记。(一)派生分立派生分立是指公司将一部分资产分出去另设一个或若干个新的公司，原公司存续。另设的新公司应办理开业登记，存续的原公司办理变更登记。(二)新设分立新设分立是指公司将全部资产分别划归二个或二个以上的新公司，原公司解散。原公司办理注销登记，新设公司办理开业登记。
