公司解散纠纷的被告是公司。因为公司解散纠纷的诉讼，属于变更股东和公司之间的出资和与被出资的法律关系，属有关公司组织方面的诉讼，因此应当以公司为被告。
可以提起这种诉讼的原告是单独或者合计持有公司全部股东表决权百分之十以上的股东。
【法律依据】
《公司法》第一百八十二条，公司经营管理发生严重困难，继续存续会使股东利益受到重大损失；
通过其他途径不能解决的，持有公司全部股东表决权百分之十以上的股东，可以请求人民法院解散公司。
