释义	法律分析：注册资金不会出现返还的情况。公司的注册资金本身就是注资人所有，只是在办理营业执照开户验资时，让银行验证一下账户上的数额，验证完后银行会在营业执照上写上具体资金的额度，需要在开户银行存入两天左右，该资金就可以提走使用，执照的注册资金没有被拿走，也就不存在退与不退的道理。法律依据：《中华人民共和国公司法》第二十六条有限责任公司的注册资本为在公司登记机关登记的全体股东认缴的出资额。法律、行政法规以及国务院决定对有限责任公司注册资本实缴、注册资本最低限额另有规定的，从其规定。
