释义	法律分析：分公司营业执照被吊销对总公司是没有影响的，但是分公司没有独立法人资格，所以分公司因违法行为被工商局吊销营业执照，总公司必须承担责任，承担被罚款项，而后由总公司责成追偿。分公司分公司负责人不能担任其他公司法人三年内不能担任法人董事监事经理。法律依据：《中华人民共和国公司法》第十四条公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
