股市注册制就是指股票发行的其中一种制度，A股市场的股票发行制度主要有三种，最初的审批制，主板当前的核准制度，科创板的注册制。注册制的意思就是指公司或者企业根据股票发行的各项规定进行依法申报，只要各种资料完全准确地进行申报。当公司申报之后，待相关部门进行审查，并并且采取实质性审核，最终确定公司或者企业是否给上市。注册制，是一种股票的发行制度，制度要求上市企业在发行股票时，必须依法将公开的各种资料完全准确地向证券监管机构进行申报，不得存在虚假、误导和遗漏。在注册制下，证券监管机构将只设立上市标准和条件，符合基本要求的企业均可通过注册完成上市发行股票。至于上市企业是否“优秀”，就完全交由市场去判断了。
法律依据：《中华人民共和国公司法》 第二十三条 设立有限责任公司，应当具备下列条件：
（一）股东符合法定人数；
（二）有符合公司章程规定的全体股东认缴的出资额；
（三）股东共同制定公司章程；
（四）有公司名称，建立符合有限责任公司要求的组织机构；
（五）有公司住所。
