释义	法律分析：非专利技术可以出资。非专利技术亦称专有技术，是指尚未公开和取得工业产权法律保护的某种产品或者某项工艺以及设计、工艺流程、配方、质量控制和管理方面的技术知识。各国公司法均认可股东以非专利技术出资，我国公司法也已抽象概括的形式加以确认。法律依据：《中华人民共和国公司法》第二十七条股东可以用货币出资，也可以用实物、知识产权、土地使用权等可以用货币估价并可以依法转让的非货币财产作价出资是，法律、行政法规规定不得作为出资的财产除外。
