无限责任公司和有限责任的区别具体如下：
1、定义不同：
（1）有限责任公司股东是以出资额为限对公司承担责任，公司以全部资产对公司的债务承担责任；
（2）无限责任公司由两个以上股东组成、股东对公司债务负连带无限责任的公司形式；
2、责任不同：
（1）有限责任公司的每个股东以其所认缴的出资额为限对公司承担有限责任，无限责任公司是指股东对公司及其债务承担无限连带责任，如果公司不能偿还债务时，由股东承担清偿责任；
（2）不允许设立无限责任公司的，但却允许设立承担无限责任的企业，如个人独资企业、合伙企业；
3、经营特点不同：
（1）无限责任公司是建立在成员相互信赖基础上的少数小的共同企业形式，组织手续比较简单，不要求具备最低的资本总额，直接关系每个股东的全部财产利益；
（2）有限责任公司设立程序比较简单，不必发布公告，也不必公布账目，尤其是公司的资产负债表一般不予公开，公司内部机构设置灵活。

公司是企业法人，有独立的法人财产，享有法人财产权。公司以其全部财产对公司的债务承担责任。
有限责任公司的股东以其认缴的出资额为限对公司承担责任；股份有限公司的股东以其认购的股份为限对公司承担责任。
第四条
公司股东依法享有资产收益、参与重大决策和选择管理者等权利。
