法律分析：
上市公司指的是公司的股票能够在证券所挂名并成功上市，可进行交易的股份有限公司。股份有限公司是可以通过发放股票的形式募集资金，但有限责任公司不行，除非进行股份制改革。上市公司也要符合一定的条件才能在证券所交易，比如：股票需经过国务院证券监管局核准、公司在近三年内没有重大违法行为、无虚假宣传、公司股本总额不得少于3000万人民币等。
