释义	法律分析：私下签的入股协议是否有效要看是否能成为隐名股东。我国的法律没有对隐名股东的概念进行明确的规定，但却在《中华人民共和国公司法》第三十三条间接承认了隐名股东。所谓隐名股东是实际出资认购公司的股份，但在公司的章程、股东名册和工商登记中却记载为他人的投资者。法律依据：《中华人民共和国公司法》第三十二条有限责任公司应当置备股东名册，记载下列事项：（一）股东的姓名或者名称及住所；（二）股东的出资额；（三）出资证明书编号。
