释义	总公司可以办理分公司注销手续，要交两个文件：一是总公司关于注销分公司的会议决议的文件，二是财务报表，显示分公司已经清理完毕债权债务，注销完毕以后，工商局会叫你上交公章，法人章，财务专用章。法律依据：《中华人民共和国公司登记管理条例》第四十四条公司撤销分公司的，应当自撤销决定作出之日起30日内向该分公司的公司登记机关申请注销登记。申请注销登记应当提交公司法定代表人签署的注销登记申请书和分公司的《营业执照》。公司登记机关核准注销登记后，应当收缴分公司的《营业执照》。
