释义	法律分析：以土地使用权出资,一般可以免交土地增值税.但存在例外,即以土地使用权出资,所投资的企业从事房地产开发的,须交土地增值税，也免个人所得税。法律依据：《中华人民共和国契税暂行条例细则》第八条土地、房屋权属以下列方式转移的，视同土地使用权转让、房屋买卖或者房屋赠与征税: (一)以土地、房屋权属作价投资、入股; (二)以土地、房屋权属抵债; (三)以获奖方式承受土地、房屋权属; (四)以预购方式或者预付集资建房款方式承受土地、房屋权属。
