释义	法律分析：股东分红权，指股东基于公司股东的资格和地位而享有的请求公司向自己分配股利的权利。股东行使该权须具备两个条件：一是从实体上公司需有实际可供分配的利润。二是从程序上公司的利润分配方案得到股东会或股东大会的通过。在以上两个条件未满足时，股东的盈余分配权尚只能是法律层面的期待权益。法律依据：《公司法》第三十四条，股东按照实缴的出资比例分取红利；公司新增资本时，股东有权优先按照实缴的出资比例认缴出资。但是，全体股东约定不按照出资比例分取红利或者不按照出资比例优先认缴出资的除外。
