释义	法律分析：股份公司不能能在公司章程中设置一票否决权。法律依据：《中华人民共和国公司法》第一百零三条股份公司股东出席股东大会会议，所持每一股份有一表决权。但是，公司持有的本公司股份没有表决权；第一百一十一条股份公司董事会会议应有过半数的董事出席方可举行。董事会作出决议，必须经全体董事的过半数通过。董事会决议的表决，实行一人一票。
