释义	公司股东以其认缴的出资额为限对公司承担责任。若股东已向公司缴纳出资，履行了出资义务，公司破产时股东没有责任。若股东尚未向公司缴纳出资，未履行出资义务，公司破产时股东须向公司补足其认缴的出资。例外情况：如果公司股东滥用公司法人独立地位和股东有限责任，逃避债务，严重损害公司法律依据：《公司法》第一百八十七条：清算组在清理公司财产、编制资产负债表和财产清单后，发现公司财产不足清偿债务的，应当依法向人民法院申请宣告破产。公司经人民法院裁定宣告破产后，清算组应当将清算事务移交给人民法院。
